These Terms of Use govern your access to and use of HIL Exchange, a digital marketplace operated by HIL Group and connecting buyers, suppliers, and contractors across Trinidad & Tobago. By creating an account or using any part of the platform you agree to these terms in full. If you do not agree, do not use the platform.
1. Who We Are
HIL Exchange is a product of HIL Group, a company incorporated in Trinidad & Tobago. The platform operates at hil-exchange.net and any associated subdomains. References to "HIL Exchange", "we", "us", or "our" refer to HIL Group. References to "you" or "user" refer to any individual or entity accessing the platform.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts under the laws of Trinidad & Tobago to use this platform. By registering, you confirm that the information you provide is accurate and that you are authorised to act on behalf of any business you represent.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@hil-exchange.net if you suspect unauthorised access to your account.
You may not share your account with others, create multiple accounts for the same business, or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these terms.
4. Supplier Listings
Suppliers may post listings for products, materials, equipment, and services relevant to the construction and building trade. All listings must be accurate, not misleading, and relate to goods or services the supplier is genuinely able to provide.
You must not post listings that:
- Are false, fraudulent, or materially misleading
- Infringe any third-party intellectual property rights
- Advertise illegal goods, controlled substances, or unlicensed services
- Duplicate active listings for the same product or service
- Contain contact details in the title or description to circumvent the platform
HIL Exchange reserves the right to remove any listing at its discretion without prior notice.
5. Request for Quotation (RFQ)
Buyers may submit RFQs describing materials or services they require. By submitting an RFQ you confirm the request is genuine and relates to a real procurement need. Suppliers who respond to RFQs are responsible for the accuracy of their quotes. HIL Exchange is not party to any transaction arising from an RFQ and is not liable for disputes between buyers and suppliers.
6. Verified Supplier Programme
The "Verified" badge is awarded to suppliers who submit valid business documentation and pass our review process. Verification confirms the existence of the business — it does not constitute an endorsement of the quality of the supplier's products or services.
We reserve the right to revoke verified status if we discover documentation was falsified or if the supplier breaches these terms.
7. Fees and Paid Plans
Certain features of HIL Exchange — including Verified and Featured supplier plans — are available on a paid subscription basis. Fees are quoted in Trinidad & Tobago Dollars (TTD) and are subject to change with reasonable notice. Payments are non-refundable except where required by applicable law. If you cancel a paid plan, access to paid features continues until the end of the current billing period.
8. Prohibited Conduct
You agree not to:
- Scrape, crawl, or systematically extract data from the platform without written permission
- Attempt to gain unauthorised access to any part of the platform or its infrastructure
- Transmit spam, unsolicited messages, or bulk communications to other users
- Use the platform to facilitate transactions that bypass HIL Exchange solely to avoid fees
- Post content that is defamatory, harassing, discriminatory, or otherwise unlawful
- Impersonate any person, business, or entity
- Interfere with the platform's normal operation or introduce malicious code
9. Intellectual Property
All content on HIL Exchange — including the brand, logo, design, and platform code — is the property of HIL Group or its licensors. You may not reproduce, distribute, or create derivative works from any part of the platform without express written permission. By posting listings or other content on the platform, you grant HIL Group a non-exclusive, royalty-free licence to display, reproduce, and distribute that content solely for the purpose of operating the platform.
10. Privacy
Our collection and use of personal data is governed by our
Privacy Policy, which forms part of these Terms of Use. By using the platform you consent to the practices described in that policy.
11. Disclaimer of Warranties
HIL Exchange is provided on an “as is” and “as available” basis. We make no warranty that the platform will be uninterrupted, error-free, or free of viruses. We do not verify the accuracy of supplier listings beyond the Verified programme and accept no responsibility for the quality, safety, or legality of goods and services listed on the platform.
12. Limitation of Liability
To the fullest extent permitted by the laws of Trinidad & Tobago, HIL Group shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including loss of profits, data, or business opportunity. Our total liability to you for any claim arising from use of the platform shall not exceed the fees you paid to us in the three months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless HIL Group, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your listings or content, or your breach of these terms.
14. Termination
We may suspend or terminate your access to the platform at any time if you breach these terms or if we reasonably believe your use poses a risk to other users or the platform. You may close your account at any time by contacting us at
support@hil-exchange.net. Termination does not affect any rights or obligations that arose prior to termination.
15. Changes to These Terms
We may update these Terms of Use from time to time. When we do, we will update the “Last updated” date at the top of this page. Continued use of the platform after changes are posted constitutes your acceptance of the revised terms. For significant changes we will notify registered users by email.
16. Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the Republic of Trinidad & Tobago. Any disputes arising from these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Trinidad & Tobago.
